Offenlegungsverordnung: finaler Entwurf der Regulierungsstandards liegt vor

Nachdem die technischen Regulierungsstandards der Offenlegungsverordnung über den Sommer 2020 konsultiert und im Anschluss daran lebhaft diskutiert worden sind, haben die EU-Aufsichtsbehörden am 4. Februar 2021 die finalen Entwürfe vorgelegt. Es wird erwartet, dass die Vorlage innerhalb der nächsten drei Monate von der EU-Kommission angenommen wird.

Die Umsetzung der technischen Regulierungsstandards (Level 2) soll mit dem Beginn des Jahres 2022 starten. Die Level 1-Anforderungen der Offenlegungsverordnung sind ab dem 10. März 2021 anzuwenden.

In der Diskussion waren insbesondere die Indikatoren für die nachteiligen Nachhaltigkeitsauswirkungen. Während in den konsultierten Entwürfen noch 32 verpflichtende und 18 freiwillige Indikatoren vorgesehen waren (siehe Auflistung unten), sind in den finalen Entwürfen lediglich noch 18 Indikatoren (sowie eine größere Anzahl an freiwilligen) enthalten, von denen sich jeweils zwei auf Staaten bzw. supranationale Organisationen sowie auf den Real Estate-Bereich beziehen (siehe ebenfalls unten). 

Die Entwürfe beinhalten außerdem Templates für die Offenlegungsanforderungen für die vorvertraglichen Informationen und die regelmäßigen Berichte für Artikel 8- und Artikel 9-Produkte aus der Offenlegungsverordnung (Finanzprodukte, die ökologische und soziale Merkmale bewerben und nachhaltige Investitionen, wie sie im Artikel 2 bzw. 9 definiert sind). Auch für die Offenlegung von Informationen auf der Webseite sind detaillierte Angaben formuliert worden. 

Mit der Offenlegungsverordnung geht die EU entscheidende Schritte, um Nachhaltigkeit weiter in den Finanzmarkt zu integrieren, für Transparenz und Vergleichbarkeit zu sorgen sowie um Greenwashing zu verhindern. Sie hat mit der Einführung der nachteiligen Nachhaltigkeitsauswirkungen das Konzept der doppelten Materialität in der Verordnung umgesetzt und drei Produktkategorien eingeführt: Standard-Produkte (Artikel 6), Produkte mit ökologischen und/oder sozialen Merkmalen (Artikel 8) sowie nachhaltige Investitionen (Artikel 9). Mit der Offenlegungsverordnung ist damit eine nachhaltige Investition durch den Gesetzgeber definiert worden.

Die europäischen Aufsichtsbehörden werden außerdem Entwürfe für Regulierungsstandards für die Berichtspflichten von Artikel 8- und Artikel 9-Produkten im Zusammenhang mit der Taxonomie vorlegen und dazu konsultieren. Die Taxonomie-Verordnung hat die Offenlegungsverordnung in diesen Punkten nachträglich ergänzt (und im Punkt zu technischen Regulierungsstandards zur Vermeidung erheblicher Beeinträchtigungen).
